Fits 2010-2011 2012 model is different part no.

The V-6 Camaro unit is unique in that it is designed around the V-6 engines cross ram intake manifold flow architecture and its need for maximum plenum volume.


Features:
1. Reverse venturi 85MM MAF
2. Integrated rear air-horn to boost flow through the throttle body
3. Sound frequency cancelation, to remove that whomp, whomp sound from your intake.
4. Engineered / built in tune. (mild)
5. Quick and easy installation (we did it in under 9 min!)

Vararam products each have individual guarantees, and the VR DZ-6 is no exception:

Guaranteed gains of 3 tenths or 3 mph through the 1/4 mile.

how does this effect the overall sound of the exhaust? does it help the loudness or tone?

Aftermarket air intake systems generally give your exhaust a deeper tone and makes it slightly louder.

I have the vmax throttle body. Does this conflict with VR?

You should not have any problem. It should actually make for a good combo. The only potential issue is that air flow will be increased so much you will need a tune.
